General Information

The information contained on this website, in any presentation materials, or otherwise provided by Moon Pursuit Capital is for informational purposes only and does not constitute an offer to sell or a solicitation of an offer to purchase interests in the Fund or any other securities. Any such offer or solicitation will only be made pursuant to the Fund’s private placement memorandum (“PPM”), limited partnership agreement, and subscription documents (collectively, the “Offering Documents”), which should be read carefully in their entirety prior to making any investment decision.

Rule 506(c) Advertising and Verification

The Fund is being offered in reliance upon an exemption from registration under the Securities Act of 1933, as amended (the “Securities Act”), specifically Rule 506(c) of Regulation D. Pursuant to Rule 506(c):

• All purchasers in the Fund must be “Accredited Investors” as defined in Rule 501(a) of Regulation D.
• The Fund is required to take reasonable steps to verify the accredited investor status of each purchaser. This may include review of tax returns, bank/brokerage statements, W-2/1099 forms, or verification letters from qualified third parties (such as CPAs, attorneys, or registered broker-dealers).
• Self-certification alone is not sufficient to satisfy verification requirements under Rule 506(c).

U.S. Investor Eligibility

Investment in the Fund is limited to U.S. investors who qualify as one of the following:

1. Accredited Investor – As defined in Rule 501(a) of Regulation D under the Securities Act of 1933. Examples include:
   • Individuals with income exceeding $200,000 (or $300,000 jointly with a spouse) in each of the two most recent years and with a reasonable expectation of reaching the same income level in the current year.
   • Individuals or entities with net worth exceeding $1,000,000 (excluding primary residence).
   • Entities meeting certain thresholds, such as banks, insurance companies, registered investment companies, or trusts with assets in excess of $5,000,000.
   • Certain knowledgeable employees and holders of professional financial licenses (e.g., Series 7, 65, or 82).
2. Qualified Purchaser – As defined in Section 2(a)(51) of the Investment Company Act of 1940, including:
   • Individuals who own not less than $5,000,000 in investments.
   • Family-owned companies that own not less than $5,000,000 in investments.
   • Certain trusts and institutional investors meeting higher thresholds.

Prospective investors may be required to provide documentation to substantiate their Accredited Investor and/or Qualified Purchaser status.

Non-U.S. Investors

Interests in the Fund may also be offered to certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act, subject to applicable local laws and regulations. Non-U.S. investors must represent and warrant that they are not U.S. Persons (as defined in Regulation S) and that they are in compliance with the securities laws of their respective jurisdictions.

No Public Offering

The Fund is not registered as an investment company under the Investment Company Act of 1940, nor are its securities registered under the Securities Act. Interests in the Fund are offered solely through private placement to eligible investors and are not available to the general public.
